A five year old would get a more simple answer asking his daddy where babies come from.
I dont know, if it were easy there wouldnt be so many places to download complete themes, people would just do it themselves.
From every thing i heard it takes hours to do IF you know how, i cant imagen if you dont.
NUKEMODS.COM (http://www.nukemods.com) has many themes maybe you can find one there that you like.

To make a theme requires a little knowledge of PHP.
The best thing to do is to find one that is simular to what you want.
http://www.nuke-themes.com would be another good place to find some.
Once you find one you like then look at the code using a text editor (make sure word wrap is off) and make adjustments accordingly.
I always suggest when you are altering code to make several backups along the way. Then if you do something which does not work you will not need to start from scratch.
As every theme is coded differently, it is almost impossible to give any general ansers as to how to code (or recode) the theme to make it look like you want it to.
If you do get stuck, please post back with the name of the theme, where you got it and the specific question of what you are trying to change. This will make it easier for me to help you out.
